Terms and Conditions of Sale

These terms and conditions apply to all sales of goods supplied by Mediq Healthcare UK Ltd and outline the rights and responsibilities of both the buyer and the company.

1. Definitions

  • The Buyer means the purchaser of the Goods.
  • The Company means Mediq Healthcare UK Limited of Mediq House, Arundel Avenue, Castle Donington, Derby, DE74 2HJ.
  • The Conditions means these terms and conditions of sale.
  • The Goods means medical, surgical and other products supplied by the Company.
  • The Order means an order for Goods addressed to the Company.
  • The Price means the agreed price for the Goods at the time of dispatch.

2. Entire Agreement

  • These Conditions apply to all contracts for the sale of Goods and override any other terms the Buyer may attempt to impose.
  • All orders are deemed to be an offer by the Buyer to purchase Goods under these Conditions.
  • Any variation to these Conditions must be agreed in writing by an authorised signatory of the Company.

3. Price and Payment

  • Prices are exclusive of VAT which will be charged at the applicable rate.
  • Payment is due within 30 days of the invoice date.
  • Interest may be charged on overdue invoices at 4% above the NatWest base rate (minimum 8%).
  • The Company may increase prices between order confirmation and dispatch where costs increase beyond its control.
  • The Company may charge for delivery, postage and packaging.
  • Overdue payments may result in:
    • Termination of the contract, or
    • Suspension of further deliveries.

4. Exchange of Goods and Returns

  • Requests for exchanges or returns will only be considered within 30 days of delivery.
  • The Company may charge a handling fee of no less than 25% of the total price.
  • Returns may be refused for non-stocked items or goods purchased specifically on request.

5. Account Facilities

  • If the Buyer does not have an account facility, payment may be required by cash, cheque or credit card.
  • The Company may require payment in advance before dispatch.
  • Goods will not be delivered until cheque payments have cleared.
  • Account facilities are granted at the Company's discretion following credit checks.
  • The Company may withdraw account facilities at any time.

6. Delivery

  • Goods are normally delivered to the Buyer’s premises unless otherwise agreed.
  • Risk passes to the Buyer upon delivery.
  • The Buyer may collect goods directly from the Company’s premises.
  • Urgent deliveries may incur additional charges.
  • The Company may deliver goods in instalments.
  • Delivery times are estimates and not guaranteed.
  • The Buyer must inspect goods and report damage or shortages within 5 working days.

7. Limitation of Liability

  • The Buyer must inspect goods on delivery.
  • If defects are identified the Company may replace goods or refund part of the price.
  • The Company is not liable for indirect losses including loss of profit or revenue.
  • Nothing excludes liability for death or personal injury caused by negligence.
  • The Company does not guarantee suitability of goods for specific medical uses.
  • Promotional material provided by manufacturers is not guaranteed for accuracy.
  • Total liability is limited to the value of the order.

8. Cancellation

  • Orders may only be cancelled with the Company's approval.
  • A handling fee of at least 25% may be charged.
  • Custom or special-order items may not be eligible for cancellation.

9. Retention of Title

Ownership of goods will remain with the Company until full payment of all outstanding amounts has been received.

  • The Buyer must store goods separately and identify them as Company property.
  • The Buyer must insure the goods against loss or damage.
  • The Company may repossess goods if payment obligations are not met.

10. Licences and Certificates

By placing an order, the Buyer confirms they hold all licences, certificates and documentation required to purchase and use the Goods.


11. Notices

Notices relating to these Conditions should be sent to Mediq Healthcare UK Ltd at Mediq House, Arundel Avenue, Castle Donington, Derby, DE74 2HJ.


12. Assignment

The Company may subcontract or transfer its rights and obligations under these Conditions without requiring the Buyer’s consent.


13. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond their reasonable control including acts of God, war, strikes, fires, floods or other similar events.


14. Jurisdiction

These Conditions are governed by English law and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
